EQT Bets Big on Natural Gas With an All-Stock Deal for Range Resources

EQT agreed to buy Range Resources in an all-stock deal creating a company worth over $50 billion. Range jumped 17.7%. Inside the terms and the logic.

The largest U.S. natural gas producer just got bigger. EQT has agreed to acquire Appalachian rival Range Resources in an all-stock transaction that creates a company with an enterprise value of more than $50 billion. When I went through the terms, what stood out was less the size of the deal than what it says about how gas producers see demand over the coming years.

The Terms

Under the agreement announced on October 26, Range shareholders will receive 0.987 EQT share for each Range share, according to EQT’s announcement filed with the SEC. EQT shareholders are expected to own about 73% of the combined company and Range shareholders about 27%. Toby Rice will remain chief executive, and two Range representatives, including Range CEO Dennis Degner, will join EQT’s board.

Targeted synergies$325 million a year within two years; pathway to more than $600 million
Expected credit qualityBBB at closing
Expected closingFirst quarter of 2027, subject to approvals

The release does not state a premium. By my calculation, based on Friday’s closing prices from Yahoo Finance, the exchange ratio valued Range at about $54.91 per share, roughly 21% above its October 23 close of $45.52.

How the Market Priced It

Range jumped 17.7% to $53.56 on Monday, a new 52-week high, on volume nearly ten times its 20-day average, based on Yahoo Finance data. EQT slipped 1.4% to $54.85, a typical reaction for an acquirer issuing a large amount of new stock. At those prices, the deal values each Range share at about $54.14, leaving a spread of roughly 1.1% between Range’s price and the implied offer, by my calculation. A narrow spread like this usually signals that investors see a high probability the deal will close, although regulatory and shareholder approvals are still required.

The chart also shows how much Range had already run before the announcement: the stock was up about 39% over one month and about 52% this year, and its 14-day RSI now stands near 85, an unusually high reading that reflects the size of Monday’s jump.

Why Scale Matters in Appalachian Gas

Rice said the deal “creates a company uniquely positioned for the next era of natural gas,” according to the release. The companies point to cost savings across corporate functions, operations and commodity marketing, and to better margins from marketing natural gas, liquefied natural gas and natural gas liquids. Both operate in the same basin in Appalachia, which makes overlapping acreage and shared infrastructure a natural source of savings.

In my view, the logic goes beyond synergies. With energy security back at the top of the agenda this year and oil above $100 a barrel, larger producers with low costs and access to LNG export markets are better placed to negotiate long-term supply contracts. An all-stock structure also lets EQT grow without adding debt, consistent with its goal of maintaining BBB-quality credit metrics.

What Still Has to Happen

The transaction requires regulatory approvals and the approval of both companies’ shareholders, and is expected to close in the first quarter of 2027. Because Range shareholders are paid in EQT stock, the value they ultimately receive will move with EQT’s share price until closing, and therefore with natural gas prices. Delivering the targeted synergies, particularly the longer-term ambition of more than $600 million a year, will be the measure investors use to judge the deal over the next two years.
